NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN

1. SPONSOR: YouthNoise, 1255 Post Street, Suite 1120, San Francisco, California 94109.

2. ENTRY: To enter, go to Footwork Flix Dance Video Contest and follow the on-screen instructions. You must register as a user of YouthNoise.com (unless you are already registered). There is no limit to how many Entries users can submit, but each Entry must be a unique entry. For information regarding privacy policy, please visit Privacy Policy. Entries must be received between 09:00:01 p.m. PST on Thursday, March 22, 2007 and 08:59:59 p.m. PST on April 30, 2007. Entries must be between one minute and three minutes in length and be the original work of the contestant. Entries must not infringe upon third party rights or previously have won awards or been published. All Entries that, in the sole discretion of Sponsor, may infringe on third party rights will be disqualified. All Entries become the property of Sponsor and will not be returned. Sponsor may disqualify any Entry if it determines, in its sole discretion, that any persons or animals were harmed in the video. Sponsor will have all rights to copy, edit, broadcast, publish and use, in whole or in part, any Entry in any manner without further compensation (unless prohibited by law). Sponsor is not responsible for inaccurate, fraudulent, incomplete, illegible, tampered with, misdirected, late or stolen Entries or transmissions, or problems of any kind whether mechanical, human or electronic.

3. VOTING: Registered users of YouthNoise.com will vote for the most original and creative Entry. This public voting will take place between March 22, 2007 and May 14, 2007 by accessing Footwork Flix Dance Video Contest Voting and following the posted voting instructions. Individuals must be 13 years or older to vote. The use of robotic or automated devices for voting is prohibited.

4. WINNER SELECTION: The top five vote-getting Entries will be judged by a panel of three dance choreographers. In the unlikely event of a tie for the last spot(s), Sponsor will choose the Entry for the last spot(s) in a random drawing from among the tied Entries receiving that number of votes. The panel of judges will choose one winning Entry from among the top five vote-getting Entries based on technique (33%), style (33%) and originality (34%) of the dance. The winner will be announced on YouthNoise website or about May 29, 2007.

5. PRIZE: The winner will receive $1000 in cash for him/herself and Sponsor will donate $1000 on the winner’s behalf to the 501(c)(3) non-profit organization focused on youth development or health of his/her choice. The total value of the prize is $2000. The prize will be awarded to the YouthNoise.com user (or parent/legal guardian, as applicable) in whose name the Entry was submitted.

6. ELIGIBILITY: Contest is open to legal residents of the 50 United States, including the District of Columbia, who are between the ages of 13 and 26, who are registered users of YouthNoise.com and who have had Internet access prior to the first date of this Contest. Employees of Sponsor and its licensed dealers, agents and affiliates, and employees’ immediate families are not eligible to win. Immediate family members include relatives living at the same address as an employee. Contest is void where prohibited by law. All federal, state and local laws and regulations apply. This Contest is intended for viewing in the United States only and will only be construed and evaluated according to United States law. You are not authorized to participate in this Contest if you are not located within the United States.

7. GENERAL CONDITIONS: Potential winner will be notified by email on or about May 25, 2007 at the email address provided to Sponsor. If potential winner cannot be located or does not respond to that email within 48 hours after notification, prize will be forfeited and may be awarded to an alternate winner. Winner will be required to sign and return a notarized Winner’s Affidavit of Eligibility and Release Form within 48 hours of receipt. In the event of noncompliance, prize will be forfeited and may be awarded to an alternate winner. If prize is won by a minor, prize will be awarded in the name of winner’s parent/legal guardian, who must sign and return all required documents. All federal, state and local taxes are the sole responsibility of the winner. By acceptance of prize, winner agrees without limitation to the use of his/her name, Username, photograph and/or likeness for publicity purposes without any additional compensation, except where prohibited by law. Winner will send a photo (preferably digital) to Sponsor for Sponsor to post on YouthNoise website. Entrants agree to be bound by these Official Rules and the decisions of Sponsor and judges, which are final and binding in all matters related to this Contest. By participating in this Contest, entrants (and parent/legal guardian if winner is a minor) agree that Sponsor and its respective representatives, agencies, affiliates, subsidiaries, directors, officers and employees have no liability whatsoever for any injuries, losses or damages of any kind resulting from participation in the Contest, the acceptance, possession, use or misuse of any prize, or technical, hardware, software or telephone failures of any kind, cost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions, whether caused by Sponsor, users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit an entrant’s ability to participate in the Contest. Sponsor may prohibit an entrant from participating in a Contest or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception or other unfair playing practices or intending to annoy, abuse, threaten or harass any other entrants or Sponsor’s representatives. Sponsor is not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to errors in the advertising, Official Rules, selection and announcement of the winner and distribution of the prize. Sponsor reserves the right to terminate or amend this Contest, in whole or in part, at any time without notice, if any factor, including without limitation virus, bugs, or non-authorized human intervention, interferes with its conduct as contemplated by these official rules. In case of dispute, entries will be declared made by the authorized account holder of the email address submitted at the time of entry. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet Access Provider, online service provider or other organization (e.g., business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

8. WINNER’S NAME: Name of winner will be available on YouthNoise website or upon request by sending a self-addressed, stamped envelope by June 28, 2007 to Sponsor at “Dance Video Contest” Contest, 1255 Post Street, Suite 1120, San Francisco, California 94109.
